Since you made the claim, can you provide some evidence that "the court was poised to enforce the purchase agreement and not let him off the hook"Ken wrote: ↑Fri Nov 18, 2022 3:25 pmWhy don't you enlighten us?nett wrote: ↑Fri Nov 18, 2022 2:31 pmYou continue to be very confused about how the deal went down.Ken wrote: ↑Fri Nov 18, 2022 11:21 am And of course I was completely right. He did have second thoughts and try to back out. Then of course Twitter sued him and forced the deal to go through and the court was poised to enforce the purchase agreement and not let him off the hook. The original Twitter shareholders are probably laughing all the way to the bank right now.

Now one might argue that the judge's ruling didn't actually mandate the sale, he only mandated the sale in order to prevent the lawsuit from going forward. However most legal observers basically concluded that Twitter had close to an air-tight case against Musk and that Twitter was going to lose if the lawsuit went forward. Musk also lost all of his appeals to have the lawsuit delayed. Not to mention Musk was likely going to have to reveal a lot of potentially damaging information through the lawsuit discovery process.Musk must complete Twitter deal by Oct. 28 to avoid trial, judge rules
A Delaware Chancery Court judge ruled Thursday that Elon Musk has until Oct. 28 to close his acquisition of Twitter if he wants to avoid a trial, granting Musk a slight delay.
Earlier in the day, the Telsa CEO said he wanted to return to his original agreement to buy Twitter for $54.20 a share, and asked the social media company to end all litigation in order to close the deal. Twitter refused to oblige.
In a filing with Delaware’s Court of Chancery on Thursday, Musk’s side said Twitter should drop the court date scheduled for Oct. 17, so that the necessary financing can be pulled together to wrap up the acquisition by Oct. 28.
“Twitter will not take yes for an answer,” the filing says. “Astonishingly, they have insisted on proceeding with this litigation, recklessly putting the deal at risk and gambling with their stockholders’ interests.” Musk argued that the trial would distract his team from securing the financing necessary to close the deal.
In a filing later on Thursday, Twitter responded by saying that Musk and his legal team are being disingenuous. Only days before a trial was to commence, Musk’s team suddenly declares “they intend to close after all,” the lawyers wrote.
″‘Trust us,’ they say, ‘we mean it this time,’ and so they ask to be relieved from a reckoning on the merits,” Twitter’s side said. “To justify that relief, they propose an order that allows them an indefinite time to close on the basis of a conditional withdrawal of their unlawful notices of termination coupled with an explicit reservation of all ‘claims and defenses in the event a closing does not occur.’“
The Twitter lawyers added that Musk’s “proposal is an invitation to further mischief and delay.”
Twitter sued Musk in July to try and force the world’s richest person to stick to his purchase agreement, which was signed in April. Musk appeared ready to take the case to court, as legions of his text messages were released in preliminary filings.
While Twitter shareholders, at the company’s recommendation, agreed to Musk’s purchase price in September, Twitter may now be reluctant to walk away from its lawsuit without certainty that all the financing is available to close the deal.

Most of the reporting on this was speculation. Careful taking speculation as fact. They often get it wrong.Ken wrote: ↑Fri Nov 18, 2022 7:48 pm Now one might argue that the judge's ruling didn't actually mandate the sale, he only mandated the sale in order to prevent the lawsuit from going forward. Musk would have only lost $1 billion if he backed out of the deal. I suspect he has lost more than that in the short term keeping Twitter running. Seems that he is getting things under control and everything is running fine. I see very few ads, but I have 0 followers so I am not a big target. I just use it to watch and keep up with Space stuff.
The poll to bring Trump back has been interesting.

Re: Elon Musk. Twitter. Babylon Bee.
From what I read, $1 billion wasn't necessarily going to get him off the hook. Twitter could have claimed a lot of additional damages in the lawsuit to the extent that Musk's antics and bad-mouthing the company led to the share price being depressed. Of course that is all speculation because the lawsuit didn't go forward. But it is very possible that Twitter could have been awarded much more than just $1 billion. And it would have opened up Musk to a lot of discovery into all his personal emails and communications with lenders and financers and such. Some of which could have been damning.Robert wrote: ↑Sat Nov 19, 2022 10:18 amMost of the reporting on this was speculation. Careful taking speculation as fact. In any event we will never know. But I don't think it is accurate to say he could have just walked away from the deal by paying $1 billion. He could have been on the hook for a lot more damages than that depending on how the lawsuits played out.
But the judge's orders in this case were factual. He did in fact set a hard deadline to force Musk to fish or cut bait so to speak.

And the funniest thing on Twitter is Donald Trump has been reinstated. He has posted nothing, said he doesn't plan to use it, but many are still all upset and mad.
I got on Twitter to watch some pace stuff. I didn't know so many would be launched into orbit!! It is quite entertaining.

Re: Elon Musk. Twitter. Babylon Bee.
There was basically a 0% chance Musk could get out of this by paying $1 billion. The contract had a ‘specific performance’ clause which basically means he would be forced to complete the deal.Robert wrote: ↑Sat Nov 19, 2022 10:18 amMost of the reporting on this was speculation. I am sure the richest man in the world would have some really good lawyers that would give him some outs. I guess it doesn't matter. He did it and it is better already.
I have not posted anything. Just watching the drama.
Well, I did post one thing. "Ban assault hammers"
